Terms of Service

1. Service Description

PourIQ is a cloud-based inventory management platform designed for bars and restaurants. The Service enables you to track inventory, manage products, monitor pour costs, and generate reports through a web-based application accessible via desktop and mobile browsers.

2. Account Responsibilities

When you create a PourIQ account, you agree to:

• Provide accurate and complete registration information.
• Keep your login credentials secure and confidential.
• Restrict access to your account to authorized users within your organization.
• Notify us immediately at info@mypouriq.com if you suspect unauthorized access to your account.
• Accept responsibility for all activity that occurs under your account.

You are responsible for ensuring that anyone who accesses the Service through your account complies with these Terms.

3. Payment Terms

The Service is offered at $75 per month per location, billed monthly. By subscribing, you agree to the following:

• Monthly plan: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing cycle. No refunds are issued for partial months.
• Prepaid terms: If you purchase a prepaid subscription (e.g., annual billing), the prepaid amount is non-refundable. You will retain access to the Service through the end of the prepaid period.
• Payment method: You authorize us to charge your designated payment method on a recurring basis until you cancel.
• Price changes: We will provide at least 30 days' notice before any price increase takes effect.

4. Data Ownership

You own all data you input into the Service, including inventory records, product information, and reports ("Your Data"). We do not claim ownership of Your Data.

You may export Your Data at any time through the Service's export functionality. We will not restrict, withhold, or charge additional fees for data export.

We may use anonymized, aggregated data (which cannot identify you or your business) to improve the Service and develop new features.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to the Service or its related systems.
• Use automated tools, bots, or scripts to access the Service except through our official API (if provided).
• Transmit any malicious code, viruses, or harmful content through the Service.

6. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
• We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
• In no event shall PourIQ be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service.
• Our total liability for any claim arising from or related to these Terms or the Service shall not exceed the amount you paid to PourIQ in the 12 months preceding the claim.

7. Termination

Either party may terminate this agreement with 30 days' written notice to the other party.

We may also terminate or suspend your account immediately if you materially breach these Terms.

Upon termination:

• Your Data will remain accessible for export for 30 days following the termination date.
• After the 30-day export period, we may permanently delete Your Data from our systems.
• Any outstanding payments owed at the time of termination remain due.

8. Modifications to Terms

We may update these Terms from time to time. When we make material changes, we will:

• Provide at least 30 days' notice via the email address associated with your account.
• Post the updated Terms on this page with a revised effective date.

Your continued use of the Service after the updated Terms take effect constitutes acceptance of the changes. If you do not agree with the revised Terms, you may cancel your account before the changes take effect.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Virginia Beach, Virginia.
